Gilead Sciences has reached a definitive agreement to acquire Munich based biotechnology company Tubulis in a deal valued at up to 5 billion USD. The transaction includes an upfront cash payment of 3.15 billion USD with the remaining 1.85 billion USD structured as contingent milestone payments.
Tubulis specializes in the development of next generation antibody drug conjugates for oncology. The acquisition provides Gilead with access to the company's clinical stage assets including lead programs TUB 040 and TUB 030. Following the close of the deal which is expected in the second quarter of 2026 the Munich facility will serve as a research hub for Gilead to advance its antibody drug conjugate pipeline.
Gilead intends to utilize this acquisition to scale its research and development capabilities globally and expand its oncology portfolio. The deal remains subject to customary regulatory approvals and closing conditions.
